Fighting spam. That must remain the first priority. With that in mind, what would most benefit the fight against spam? The DUL is a proven tool and must remain as accessible and as efficient as possible. At the DUL we have already taken steps to make it better than ever before. DUL will continue to offer the service customers have come to rely on and new DUL technology will allow for both a reduced subscription cost and a lower bandwidth expenditure. The latter was reduced by a factor of approximately 600! These aspects combine to make the DUL a far more attractive package while retaining all of its existing functionality. MAPS and DUL For over three years the DUL has been an effective weapon in the war against spam. MAPS is the foremost leader in that war. We would like to propose that MAPS become the first re-seller of the DUL Project, offering subscription service to its customers at a reduced rate while collecting an attractive re-seller fee for each subscription. What we propose is a win-win-win solution for all concerned. The anti-spam community benefits from continuity of service, the same solid management, philosophy and increased efficiency. MAPS continues to be able to offer this powerful tool to its subscribers. It does so at a reduced rate which makes it a more attractive package to the customer, allows more widespread usage and, hence, less spam. MAPS no longer needs to maintain the DUL in any way, shape or form. No mirroring, legal responsibilities, maintenance, salaries or bandwidth costs. In addition, MAPS will collect a percentage of each subscription fee which will increase with the number of accounts sold, allowing a respectable profit for continuing to provide a key tool in the war against spam. The DUL benefits by continuing to fulfill its primary mandate to keep spam out of the mailboxes of users around the world without interruption to DUL subscribers. The Specifics of the Offer DUL service is to be provided to MAPS subscribers at our standard DUL fee of $400.00 US/year/subscriber for subscribers with 1000 customers or less. Each additional 1000 customers increase that fee by $50.00 US. A "Subscriber Equivalent" is considered to be any portion of a subscription or subscriptions which total $400.00 US. (Thus an ISP which had 9000 customers would pay $800.00 US in DUL subscription fees and would be considered to be two "Subscriber Equivalents" - effectively two subscribers in so far as re-seller rates are concerned). A re-seller fee is to be paid to/collected by MAPS with a US$50.00/DUL subscriber equivalent for less than 200 subscriber-equivalents. Upon reaching 200 subscriber-equivalents MAPS is compensated at an increased fee of $100.00 US/Subscriber either paid or collected. Upon reaching 400 subscriber-equivalents, the re-imbursement rate is $150.00 US/subscriber. (Example: If MAPS were to provide 100 customers initially, the fees charged would be $40,000.00 US. Of this $35,000.00 would be sent to DUL while the MAPS re-seller fee would be $5000.00. Conversely, if the initial customer assignment were to be 400, the total fees collected would be $160,000.00. Given the increased re-seller fee at this level MAPS would retain $60,000.00 and $100,000.00 would be due to DUL. At this level the re-seller fee is 37.5%!). No money is payable to MAPS until we receive the subscription fees. "When we get paid, MAPS gets paid!" MAPS may retain its share and remit the balance if desired but the subscriber will not have access until fees have cleared. DUL agrees not to sell subscriptions to end users at a lower rate than what MAPS charges. "We do not undercut our re-sellers!" Every subscriber pays the same rate up to a subscriber worth ten subscriber-equivalents (US$4000.00 - an ISP with 73,000 customers.) Above that size subscription rates are negotiable, but a minimum contract of $4000.00 US will apply in such cases. DUL reserves the right of approval over any negotiated sales. The MAPS re-seller fee for larger customers is 40% of the negotiated fee. (Example: If a very large ISP is signed up for a negotiated price of $100,000.00 US, MAPS would received a re-seller fee of $40,000.00) DUL reserves the right to set and change subscription fees. MAPS may provide Merchant services if desired (ie: accepting credit cards). No exclusivity - this agreement does not constitute an exclusive contract with MAPS LLC. Either party may terminate this contract with ninety (90) days notice in writing. However, subscriptions are not terminated with the re-seller contract. Canadian and Manitoba sales taxes will be collected where they apply. In Closing We feel that this offer represents a very fair business arrangement which will be advantageous and equitable, not only to MAPS and to the DUL but to the entire anti-spam community.
